Terms of Service
The following terms and conditions govern all use of the software products and related services offered by Realqual Software LLC ("Realqual Software"). By using our software or engaging our services, you agree to these terms.
1. Service Agreement
Realqual Software LLC will provide software products and/or related services as outlined in a formal proposal, order form, or statement of work ("SOW"). The SOW will detail the scope of services, project timelines, deliverables, licensing terms, and fees. Services will commence upon mutual agreement of the SOW.
2. Payment Terms
Fees for services will be invoiced as per the schedule in the SOW, typically on a monthly retainer basis, payable in advance. All third-party advertising costs (e.g., Google Ads spend) are the direct responsibility of the client and are not included in our management fees unless explicitly stated. Late payments may result in suspension of services.
3. Client Responsibilities
The client agrees to provide Realqual Software with timely access to all necessary information and resources required to perform the agreed services or configure the software. The client is responsible for the accuracy and legality of all materials and data provided to us and used within the software.
4. Confidentiality
Both parties agree to treat all information shared during the course of the business relationship as confidential. This includes business strategies, performance data, and other proprietary information. This obligation extends beyond the termination of the service agreement.
5. Limitation of Liability
Realqual Software will make reasonable efforts to ensure that its software and services perform substantially as described in the applicable documentation. However, we do not guarantee specific business outcomes or results. To the maximum extent permitted by law, our liability for any claim arising from our software or services is limited to the amount paid for the specific software or service in question during the twelve (12) months preceding the event giving rise to the claim.
6. Termination
Either party may terminate the service agreement with a 30-day written notice, unless otherwise specified in the applicable SOW or agreement. Upon termination, the client is responsible for all fees incurred up to the date of termination. Realqual Software will provide commercially reasonable assistance to enable export or transition of client-owned data, where applicable.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Realqual Software LLC is registered, without regard to its conflict of law provisions.
